Key points
- Joining is free and does not guarantee paid work — every collaboration is confirmed in writing first.
- Your follower counts, engagement and details must be genuine and accurate.
- Paid and gifted content must be clearly disclosed (e.g. #ad, #collab, Paid Partnership) as per ASCI and Government of India endorsement guidelines.
- Real estate promotions must show the project's RERA registration details where required.
- Client briefs, rates and unreleased information stay confidential.
- Payment is released after the agreed content is published and verified, subject to applicable TDS/GST.
- Clients introduced by Pacewalk may not be approached directly to bypass Pacewalk for 12 months.
1. About these terms
- These terms apply to every creator, influencer, UGC creator, photographer, videographer, editor or other freelancer ("Creator", "you") who joins the Pacewalk Creator Network run by Pacewalk ("Pacewalk", "we", "us").
- You accept these terms electronically by ticking the agreement box and typing your full name as your signature on the registration form. Your acceptance, the date and the version of these terms are stored with your application.
- If a specific campaign agreement conflicts with these terms, the campaign agreement applies for that campaign.
2. Joining the Creator Network
- Joining is free. Being accepted into the network does not guarantee any collaboration, number of campaigns or income.
- Pacewalk reviews every application and may accept, verify, pause or decline a profile at its discretion.
- You confirm that the details you provide — including name, contact details, follower counts, views, engagement and audience data — are true and up to date, and you will update them if they change.
- Profiles using purchased followers, engagement pods, fake engagement or misleading statistics will be removed from the network.
3. Campaigns & collaborations
- For each campaign Pacewalk will share a brief with the deliverables, timelines, rates, usage rights and any exclusivity. A collaboration is confirmed only when both sides agree in writing (WhatsApp or email is sufficient).
- You may decline any campaign. Once you confirm, you agree to deliver the agreed content on time and to the brief.
- Unless agreed otherwise, up to two rounds of reasonable revisions are included for each deliverable.
- Content must be shared with Pacewalk for approval before it is published, and published only on the agreed date and platform.
- Published content must stay live for the period agreed for that campaign, or at least 3 months if no period is specified.
4. Content standards
- All content must be your original work, and you must hold the rights to any music, footage, images or people featured in it.
- Content must not be false, misleading, defamatory, obscene, hateful, or infringe anyone's rights, and must follow the rules of the platform it is published on.
- Do not make claims about a brand, product or project (price, returns, approvals, features) that are not in the approved brief.
5. Disclosure & legal compliance
- Every paid, gifted or barter collaboration must be clearly disclosed as advertising, as required by the ASCI Guidelines for Influencer Advertising and the Government of India's guidelines on endorsements (for example: #ad, #collab, #sponsored or the platform's Paid Partnership label, placed where viewers can easily see it).
- You must personally use or experience the product or service where the endorsement guidelines require it, and must not endorse anything you believe to be misleading.
- Real estate content: promotions of real estate projects must include the project's RERA registration number and other details required under the Real Estate (Regulation and Development) Act, 2016 and the applicable state RERA rules, as provided in the brief. Do not promote unregistered projects as registered.
- Additional rules apply to categories such as finance, health, education and food. Follow the compliance instructions in the brief for these categories.
6. Confidentiality
- Client names, briefs, strategies, unreleased products or projects, pricing and campaign rates shared with you are confidential.
- Do not share them publicly or with third parties, or post any content before its approved release date, during and after the campaign.
7. Payments
- Fees are as agreed for each campaign. Payment is released after the agreed content is published and verified (live link plus insights/screenshots where requested), normally within 15 working days of verification unless the campaign agreement says otherwise.
- You must provide correct PAN and bank/UPI details before payment. TDS will be deducted where required under the Income Tax Act, 1961, and a TDS certificate provided.
- If you are registered for GST, you must share a valid GST invoice; GST will be paid as applicable. Barter and gifted collaborations may also have tax implications for you.
- Payment for a deliverable may be withheld or reduced if it is not delivered, deviates from the approved brief, is removed early, or breaches these terms.
8. Content ownership & usage rights
- You keep ownership of the content you create, unless the campaign agreement says otherwise.
- You grant the brand and Pacewalk the usage rights agreed for that campaign — for example reposting, use on the brand's website or social pages, or use in paid ads — for the agreed duration.
- Use beyond the agreed scope (such as paid ads when only organic use was agreed, or a longer period) requires your consent and may carry an additional fee.
- Pacewalk may show your published campaign content in its portfolio and case studies, crediting you.
9. Exclusivity & conflicts
- Exclusivity applies only when it is agreed for a campaign, for the category and period stated.
- Tell Pacewalk before confirming a campaign if you are working with a directly competing brand or project.
10. Non-circumvention
- For 12 months after Pacewalk introduces you to a client, you agree not to approach that client directly, or accept work from them directly, for the same type of collaboration in order to bypass Pacewalk. If the client approaches you directly, please inform Pacewalk.
11. Cancellations & removal
- If you cannot deliver after confirming, tell Pacewalk as early as possible. Any advance received for undelivered work must be returned.
- If a client cancels a confirmed campaign after you have started work, compensation for completed work will be settled in good faith as per the campaign agreement.
- Repeated missed deadlines, no-shows, misconduct, fake statistics or breach of these terms may lead to removal from the network.
12. Your data & privacy
- Your details are stored securely in Pacewalk's CRM and used only to assess you for, and manage, collaborations.
- Your phone number, email, rates and bank/tax details are never published. When shortlisting you for a client, Pacewalk may share your name, public profiles, content samples and audience statistics.
- A public portfolio page on pacewalk.com is created only with your consent.
- You can ask Pacewalk to update or delete your data at any time; records we must keep for tax or legal reasons will be retained as required by law.
13. Relationship & liability
- You work as an independent creator, not as an employee or agent of Pacewalk or of any client.
- You are responsible for the content you publish and for complying with the law and platform rules. You agree to compensate Pacewalk and its clients for losses caused by your breach of these terms.
- Pacewalk is not responsible for actions taken by social platforms (such as reach changes, restrictions or account suspensions).
14. Changes, law & contact
- Pacewalk may update these terms. The version you accepted applies to your registration; you may be asked to accept the latest version before a new campaign.
- These terms are governed by the laws of India, and the courts at SAS Nagar (Mohali), Punjab have jurisdiction.
